1. Overview & Acceptance
These Terms & Conditions ("Terms") govern your use of the website oaklogix.com and all technical consulting services provided by Oaklogix ("we", "us", or "our"), operated by principal consultant Waleed Rafique.
By accessing this website, requesting a consultation, or engaging our consulting services, you agree to be bound by these Terms.
2. Consulting Engagements & Statements of Work
Oaklogix offers productized technical consulting services, including:
- Salesforce Health & Limits Audits: Fixed-fee 48-hour diagnostic reviews of Apex triggers, SOQL/DML latency, and governor limits risks.
- Salesforce API Integration Sprints: Fixed-scope 5-business-day sprints connecting Salesforce to ERP, payment, or internal microservices.
- Fractional Salesforce Architect Retainers: Monthly ongoing architectural guidance, technical oversight, and code reviews.
- AI Voice Agents for CRM: Conversational voice agent setup and Salesforce CRM integrations.
Specific project boundaries, deliverables, access prerequisites, and delivery milestones are defined in the mutually confirmed Statement of Work (SOW) or written scoping agreement prior to work commencement.
3. Code Ownership & Intellectual Property
100% Client Repository Ownership: Upon receipt of full payment for an audit, sprint, or retainer period, all bespoke source code, Apex classes, integration handlers, unit test suites, DataWeave scripts, and Postman collections authored specifically for your project become your exclusive intellectual property.
Oaklogix retains ownership of generic developer libraries, standard scaffolding, pre-existing templates, and proprietary diagnostic toolsets used to execute the engagement.
4. Non-Disclosure & Confidentiality
We treat all client codebases, architecture diagrams, data schemas, and commercial metrics as strictly confidential. A mutual Non-Disclosure Agreement (NDA) is executed prior to receiving sandbox credentials or code access. We do not access production customer environments without explicit authorization.
5. Fees, Invoicing & Currencies
- Sprint Pricing: Integration sprints are billed 50% upfront to reserve calendar capacity, with the remaining 50% due upon sandbox acceptance and PR delivery.
- Audit Pricing: Diagnostic audits are billed 100% upfront upon receipt of required sandbox access.
- Retainers: Monthly retainer capacity is invoiced on the 1st of each calendar month in advance.
- Currencies: Rates are presented in Euro (€ EUR) or US Dollar ($ USD) depending on user region. Bank transfers (BACS/SEPA/Wire) and corporate card payments are accepted.
6. Warranties & Support Periods
For fixed-scope API integration sprints, Oaklogix provides a 14-day warranty period following sandbox acceptance to resolve any edge-case bugs or unexpected API schema deviations within the agreed scope at zero additional cost.
Services are delivered to enterprise professional standards. Except for the express warranties set out in these Terms or an individual SOW, all services and website contents are provided "as is" without implied warranties of merchantability or fitness for a particular purpose.
7. Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall Oaklogix or Waleed Rafique be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business goodwill.
Our total aggregate liability arising out of or related to any consulting engagement shall not exceed the total fees paid by the client under the specific Statement of Work giving rise to the claim.
8. Governing Law & Dispute Resolution
These Terms and any dispute or claim arising out of or in connection with them or their subject matter shall be governed by and construed in accordance with the laws of England and Wales. The parties irrevocably agree that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim.
